THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN PIZZANA AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

Nothing in these Terms shall limit or exclude our liability for: (a) death or personal injury caused by our gross negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law, including the Federal Trade Commission Act (15 U.S.C. § 45 et seq.).

15. Dispute Resolution

15.1 Informal Resolution

We will endeavor to respond to and resolve your concern within thirty (30) days of receipt. Both parties agree to negotiate in good faith during this informal resolution period.

15.2 Binding Arbitration

If the informal resolution process does not result in a mutually satisfactory resolution within thirty (30) days, any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, except as modified herein.

The arbitration shall be conducted by a single neutral arbitrator. The arbitration shall take place in the state where Pizzana is principally located, or via telephone or video conferencing if agreed upon by both parties. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

The arbitrator shall have the authority to award the same damages and relief that a court of competent jurisdiction could award, but shall not have the power to award relief that would not be available in court under applicable law.

15.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST PIZZANA. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THIS WAIVER IS A MATERIAL INDUCEMENT TO PIZZANA'S AGREEMENT TO ENTER INTO THIS CONTRACT WITH YOU.

15.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights.

16. Term and Termination

These Terms shall remain in full force and effect for as long as you continue to use the Website or Services, or maintain an account with us. These Terms commence upon your first access to the Website.

We may, in our sole discretion, suspend or terminate your access to the Website or Services, or deactivate your account, at any time and for any reason, including, without limitation, if we believe you have violated or acted inconsistently with these Terms, or if we decide to discontinue our Services, with or without prior notice to you.

No waiver by either party of any breach or default under these Terms shall be deemed a waiver of any subsequent breach or default. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Pizzana shall not be liable to you for any delay or failure to perform our obligations under these Terms to the extent that such delay or failure is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, government action, labor disputes, civil unrest, supply chain disruptions, utility failures, internet service interruptions, or any other event that makes it impractical or impossible to fulfill our obligations.

In the event of a force majeure occurrence, we will make reasonable efforts to notify you and to resume performance of our obligations as soon as reasonably practicable.
